The combination of Danfoss and Eaton Hydraulics would have resulted in a dominant position for a number of hydraulic components. The Commission found that the parties’ high market shares were indicative of such a dominant position, even in the presence of so-called “bidding markets” and differentiated products. Danfoss addressed the Commission’s concerns with a comprehensive set of divestments complemented by additional safeguards. In its review of the transaction and in particular the assessment of the proposed remedy, the Commission cooperated closely with its international enforcement counterparts, in particular the US Department of Justice.
