This is a call to participate in the structured bidding process for the sale of up to 100 % of the shares in Klinikum Niederberg gGmbH, which are currently held solely by the Zweckverband Klinikum Niederberg based in Velbert. The towns of Heiligenhaus and Velbert are members of the Special Purpose Association.
Klinikum Niederberg gGmbH owns the real estate necessary for the clinic operation. Most of the hospital construction dates back to the 1970s. In 2014, a technical clean-up measure in the context of essential fire safety upgrades in the hospital’s basement caused considerable pressure on the building fabric and building equipment with a wide range of building pollutants (including asbestos).
Against this background, a two-pronged approach was adopted: On the one hand, the possibility of continuing to operate the hospital on a fully-owned municipal basis and of financing the construction project (comprehensive renovation or new construction) through borrowings. On the other hand, the possible participation of an investor in Klinikum Niederberg gGmbH will be examined at the same time, which is then expected to finance the necessary construction project.
On the basis of the board decisions, the search for a suitable investor should be carried out in a structured bidding process.
Klinikum Niederberg gGmbH operates a centre of care at the Velbert site with a total of more than 1000 employees and currently 519 plan beds in the North Rhine-Westphalia hospital plan. It holds 100 % of the shares in Privatklinik Niederberg GmbH and in the services of Klinikum Niederberg GmbH, which in turn holds 100 % of the shares in the transfer of staff to Klinikum Niederberg GmbH. In addition, there is a 10 % stake in the gGmbH Wuppertal Academy for Healthcare Professions.
Overall, Klinikum Niederberg gGmbH has the following main departments:
— Interdisciplinary emergency reception;
— Anaesthesiology and operational intensive medicine clinic;
— General and viscera surgery clinic;
— Orthopaedic and accident surgery clinic;
— Clinic for women’s health and obstetrics;
— Clinic for Internal Medicine I – Cardiology;
— Inner Medicine Clinic II – Gastroenterology and Palliative Medicine;
— Clinic for Internal Medicine III – Old-age medicine;
— Paediatric and juvenile medicine clinic;
— Psychiatry and psychotherapy clinic;
— Urology Clinic;
— Clinic for Hals-Nasen-Ohrenheils (Document Department).
On this basis, the following centres will be operated:
—Continence centre;
— Intestinal centre;
— Hernia Centre;
— West Prostate Centre;
— Regional trauma centre;
— Perinatal centre (neonatology);
— Breast centre;
— Westdeutsche Down Syndrome ambulance.
In particular, the expression of interest procedure shall have the following objectives:
— Permanent provision of hospital care close to the place of residence in the Heiligenhaus/Velbert region;
— Maintaining the site and strengthening competitiveness, in particular by fully refurbishing the existing building or by means of a new building, ideally on the land of the former Klinikum Niederberg;
— Investment commitments and capital adequacy;
— The protection of workers’ interests;
— Risk mitigation of the special-purpose association Klinikum Niederberg and its members;
— In the case of acquisition of a majority shareholding by the Strategic Partner – retention of municipal influence over structural decisions of Klinikum Niederberg gGmbH;
— Payment of the purchase price.
The Zweckverband Klinikum Niederberg is therefore seeking an economically strong and medically qualified strategic acquirer of up to 100 % of the shares in Klinikum Niederberg gGmbH by means of an expression of interest in the structured bidding process.
