Allonge to contract between the Ministry of Finance and the law firm Poul Schmith for the provision of legal services as a result of the restructuring of the supplier
On 18 December 2014, without a prior call for tenders, the Ministry of Finance (represented by the Danish Agency for Economic Affairs on behalf of the State) and the law firm Poul Schmith entered into a contract for the provision of legal services to the State (‘the Contract’). The contract provides for the continuation of the cooperation in the provision of legal services which has existed between Poul Schmith and the State since 1936. The law firm Poul Schmith is today organised as a partnership (‘Poul Schmith I/S’). As part of the restructuring described below, the parties wish the Contract to be transferred from Poul Schmith I/S to Poul Schmith Advokatpartnerselskab (‘Poul Schmith P/S’). This notice for the purpose of voluntary ex ante transparency concerns this intended amendment to the Contract, which is implemented by an allonge ("Allongen"). The background to Allongen is that the owners of Poul Schmith wish to carry out an internal corporate restructuring, whereby the law firm, including the Contract, is transferred from Poul Schmith I/S in the form of a contribution in kind to Poul Schmith P/S. The background to the restructuring is a desire for a more up-to-date corporate structure. At the time of the transfer, the shareholders in Poul Schmith I/S own 100% of the shares in Poul Schmith P/S. Poul Schmith P/S is formed in connection with the transfer in accordance with the rules of the Danish Companies Act. The restructuring entails that the Contract is transferred from Poul Schmith I/S to Poul Schmith P/S. In this way, the supplier, which is organised as a partnership where the stakeholders are personally liable, jointly and severally liable and unlimited for the company's obligations, is replaced by the partner company, where liability is in principle limited. However, it will be a term in Allongen that the ultimate owners of Poul Schmith P/S at any time assume personal liability for the lawyer partner company's obligations in relation to the Contract corresponding to the liability that would have existed if continued performance under the auspices of the partnership. No other changes to the Contract, including changes to the terms of the Contract, will be made at Allongen.
