Description

The purpose of this contract is the advice, representation and defence of ENAIRE before the Belgian judicial bodies by Everest in the enforcement proceedings in Belgium brought by EURUS ENERGY HOLDINGS CORPORATION, arising from the arbitration awards rendered by ICSID in arbitration proceedings at the request of EURUS against the Kingdom of Spain, dated 14/11/2022 and 15/05/2023, including all its instances and incidents. ENAIRE's representation and defence shall in any case include: i. Advice and design of the procedural strategy to be followed, including all the relevant formal and substantive grounds, for the defense of ENAIRE in the procedure indicated in the previous point, issuing, at the request of ENAIRE, memoranda or reports. ii. Assume before the Belgian Courts the representation and defence of ENAIRE in the proceedings identified above. This service shall include, but shall not be limited to: a. Preparation of procedural documents. b. Drafting, signing and presentation of final pleadings. c. An application for annulment of the whole procedure, if any. d. The lodging of all procedural incidents necessary for the proper defence of Enaire’s interests, including those of European Union law. e. Opposition to procedural requests made by the executing party. f. The lodging of the necessary procedural appeals against any decision given by the Belgian judicial authorities which is contrary to the interests of ENAIRE, with the exception of appeals on a point of law before the Belgian Supreme Court. g. Opposition to all procedural appeals brought by the executing party, with the exception of the appeal on a point of law. h. Assistance and intervention in the various oral hearings or proceedings which may be held before the Belgian courts in the context of the proceedings described above. i. Intervention in court proceedings concerning costs. iii. The proper coordination of the above actions with the legal strategy followed by the representation of the Kingdom of Spain. iv. Any other services included in the budget submitted by Everest of 16 July 2024 (which is annexed to this contract). v. The scope of the provision of legal services before the Belgian Supreme Court shall be in accordance with Clause 3a of this contract.
