Description

1. Type of contract: services.
2. CPV procurement codes:
66 11 30 00 – 5 – Credit granting services.
3. The purpose of the contract is to take out a long-term loan to cover the planned deficit of the City of Myszków’s budget in 2 016 in an amount not exceeding PLN 10500000.
4. General description of the subject-matter of the contract:
(1) The Contractor will grant the Contracting Authority a long-term loan within the meaning of the Banking Law Act of 29.8.1997 (consolidated text – Journal of Laws 2015, item 128, as amended) in Polish currency, not exceeding PLN 10500000;
(2) Minimum contract level guaranteed by the Contracting Authority for the duration of the contract – Minimum value of the loan taken out: PLN 3000000;
(3) The contracting authority will allocate and use the credit until 31.12.2016;
(4) The loan is granted for the period from the date of conclusion of the contract to 30.9.2025.
i.e. during the duration of the agreement (contractual credit term). The term of the loan expires on the date of repayment of the last instalment of the credit;
(5) The contracting authority is entitled to reimbursement of expenditure incurred from own resources related to investments as from 2.1.2016;
(6) The settlements between the Contracting Authority and the Contractor concerning the credit granted will be carried out in PLN;
(7) The Contractor shall open the Contracting Authority’s credit account within three days of the conclusion of the contract and shall keep it free of charge for the duration of the contract;
(8) The Contractor shall release loan tranches in accordance with the Contracting Authority’s payment instructions;
(9) On the loan granted, the Contractor shall charge interest at a variable interest rate calculated on an annual basis on the amount of credit drawn up. The interest rate will be equal to the sum of the variable base rate and the fixed margin specified in the Contractor’s tender. The base rate is based on the WIBOR rate for deposits 1 – monthly in PLN (WIBOR 1M), calculated as the arithmetic average of the last ten days preceding the monthly accounting period, rounded to two decimal places, with the rate of the last business day preceding that day being calculated on the day when there is no quotation;
(10) According to paragraph. 9, interest on the loan drawn up will be calculated over the monthly accounting periods in accordance with the following formula:
K = N x (R + M) x D/365 (or 366 in criminal years); where:
K – interest,
N – outstanding loan amount,
R – base rate of interest, expressed as interest,
M is the creditor’s margin, expressed as a percentage,
D – number of days of the interest period.
(11) The amount (amount) of the borrowing rate referred to in points 9 and 10 shall apply to the calculation of interest from the first day of the following month;
(12) For the performance of the contract, the Contractor shall not charge the Contracting Authority any fees and commissions.
(13) The guarantee of the Contractor’s claim under the contract shall be constituted by a bill of exchange.

6. The Contracting Authority does not reserve the obligation for the Contractor to perform essential parts of the contract in person.
7. The contractor must indicate in its tender the proportion of the contract it intends to subcontract.
8. If the Contractor performs the contract for the granting of credit with the involvement of a subcontractor, the subcontractor should be authorised to carry out banking activities in Poland, in accordance with the Banking Act of 29.8.1997 (consolidated text – Journal of Laws 2015, item 128 as amended).
9. The contracting authority shall not allow:
(1) The submission of partial tenders;
(2) Submission of variants.
10. The contracting authority does not provide for:
(1) Conclusion of the FWC;
(2) Establishing a dynamic purchasing system;
(3) The selection of the most advantageous tender by electronic auction,
(4) Settlements in a currency other than the Polish new zloty (PLN).
