Hsh Finanzfonds AöR (the contracting authority or finfo) is a public-law institution with legal personality established by the Länder Freie und Hansestadt Hamburg and Schleswig-Holstein.Finfo’s founding task was to provide capital support to HSH Nordbank AG in the form of equity injections and the provision of a second-loss guarantee from the Länder (so-called Sunrise Guarantee) for an initial amount of EUR 10000000000.
Finfo is the majority owner of HSH Nordbank AG (HSH). This has been the subject of an EU State aid procedure since May 2013 to re-increase the Sunrise Guarantee from EUR 7 billion to EUR 10 billion.
The common understanding reached with the European Commission on 19 October 2 015 in State aid case SA.29338, 2013/C-30 (EU-KOM Handshake) provides, inter alia, that HSH may offset losses resulting from the sale of non-performing portfolios of up to EUR 8200000000 ‘Exposure At Default’ (EEAS) against finfo’s Sunrise Guarantee. A portfolio of up to EUR 6200000000 EAD is to be transferred to the Hsh portfolio management AöR to be established by the Länder at market value (see also document 18/3572 (new) of the Schleswig-Holstein State Parliament of 11 November 2015).
In this context, finfo is faced with a number of operational, organisational, guarantee and banking issues requiring the assistance of at least two consultants. These will be identified through an EU-wide competition and contracts with them for 2 years with renewal options. The tasks include, on the one hand, the organisation and project management of the intended transaction and, on the other hand, the development of a refinancing strategy.
Organisation and project management of the transaction:
— Extensive monitoring of finfo in its activities;
— Project management and integration with the current handshake project, including business management issues and support in operational, organisational, guarantee and banking matters;
— If finfo is to take over business management tasks for hsh portfolio management AöR:
— Development of a concept and implementation to reduce the portfolio/development of the portfolio;
— Definition/establishment and implementation of core processes/functions of institutions;
— Planning, designing and implementing the servicing of the portfolio management portfolio for AöR;
— Establishment of an organisational concept including staff planning, structure, capacity and implementation support;
— Design and implementation of the IT infrastructure and architecture.
Development of a refinancing strategy:
— Answering economic issues relating to borrowing for refinancing purposes;
— Drawing up a funding strategy for the institutions, taking into account foreign exchange risks and assisting the Länder institutions in their implementation;
— Design and implementation of the capital market presence and presentation of the borrower;
— Design and implementation of a result-risk management;
— Support for the fulfilment of other obligations and the exercise of the rights of the institution under the respective loan agreements;
— Support for compliance with reporting obligations and other legal obligations.
The advice requires regular face-to-face visits in Hamburg and/or Kiel. The work of the consultant shall start at short notice. It is conceivable that the consultancy contract initially to be concluded with finfo will be transferred to it after the portfolio management of AöR has been established.
