Description

1) The subject of the contract are successive (delivered in batches depending on the needs) supplies of chemical reagents. The envisaged assortment and quantities of reagents are set out in Annex 2 to the FTZ – Detailed description of the subject-matter of the contract/Assortment and price form, subject to the provisions of point 5 below. 2) The reagents offered must be brand new and come from current production (i.e. produced not earlier than 12 months before the date of receipt of the subject of the contract) and have an expiry date of not less than 12 months from the date of signing the acceptance protocol, except for those chemical reagents for which the manufacturer has reserved a shorter expiry date. Reagents should be free from physical and legal defects and have all relevant certificates and certificates confirming the release of the supplied product for free circulation in the territory of the Republic of Poland. 3) The scope of the contract includes: the supply of reagents, their transport, unloading and arrival at their destination. 4) A detailed description of the subject of the contract is attached as Annex 2 to the FTZ; 5) The subject of the contract, set out in Annex 2 to the FTZ, was drawn up on the basis of an analysis of supplies made during the last 24 months, as part of several dozen research programmes, the continuation of which requires the absolute use of reagents from the same manufacturer. However, the analysis of deliveries made in previous years shows that predictability (quantitative and assortment repeatability) is at the level of approx. 50%. Often, it is necessary to change reagents during the research. In the light of the above, the Employer reserves the right to change the quantity of the subject of the contract specified as to the type (assortment) listed in Annex 2 to the FTZ, as well as to limit the subject of the contract due to needs that the Employer is not able to accurately predict at the stage of the procedure, as well as under the contract, the Employer will be able to purchase reagents other than those specified in Annex 2 to the FTZ, belonging to the same category, provided that the total value of the ordered reagents does not exceed the value of the contract, determined on the basis of the accepted most advantageous offer; 6) The basis for determining the price of reagents not included in Annex 2 will be the current net price of products available in the Contractor's assortment and price catalogue (price list), specified in PLN, taking into account the discount offered on net list prices; 7) The Contractor is obliged (in the case of the assortment not listed in the price form) to provide a link to the reagents website (online) where the current assortment and price catalogue (price list) of the Contractor valid during the contract implementation period is available, and if the website also requires a login and password. The Contractor shall inform the Ordering Party immediately to the indicated e-mail address of any changes in the catalogue and price promotions ; 8) In the case of the promotional price (special offer for reagents), the basis for determining the price will be the promotional price (special), provided that it is more favorable than the list price taking into account the declared discount. Promotional (special) offers will also apply to the reagents listed in Annex 2 to the FTZ. 9) The Contractor will execute the Contract Subject according to the current needs of the Ordering Party for a period of 24 months from the date of conclusion of the contract or until the value of the , Contract is exhausted if the contract value is exhausted before the end of 24 months. 10) The subject of the Agreement will be implemented in batches - on the basis of orders specifying the type and quantity of reagents within a given batch. 11) Date of delivery of the ordered batch of reagents: - maximum delivery date: up to 42 days from the date of placing the order by the Ordering Party, the Contractor may shorten the delivery period in relation to the required period indicated above. An offer providing for a shortening of the delivery period will receive points as part of the evaluation of tenders using the criterion of selecting the most advantageous tender. - for chemical reagents requiring appropriate authorisations, i.e. narcotic substances, substances of strategic importance, ozone depleting substances, etc. – The Contractor shall deliver and unload the above-mentioned permits within no more than 28 days from the date of delivery to the Contractor. The Ordering Party reserves that the performance of a given order may take place after the expiry of the term of the Agreement referred to in point 1 above, provided that the Ordering Party sends the order within the term of the Agreement. In such a case, the Contractor shall be obliged to perform the contract and shall not be entitled to any claims in this respect. 12) Delivery address: University of Silesia in Katowice, ul. Bankowa 14, 40-007 Katowice; or in another place indicated by the Supply Management Department of the University of Silesia in the order (including in particular other entities of the Ordering Party in Katowice, Sosnowiec and Chorzów); 13) Required minimum warranty term: The quality guarantee shall be granted for a period of 12 months from the date of signature of the acceptance report, excluding those reagents for which the manufacturer has reserved a shorter validity period . 14) Invoice payment term: 30 days. 15) Detailed conditions for the performance of the contract and terms of payment are included in the model contract constituting Annex 3 to the FTZ. 16) The Contracting Authority does not provide for the award of contracts for additional supplies within the meaning of Art. 1 point 8 of the PPL Act. 17) There was no market consultation prior to the initiation of the proceeding.
