Przedmiotem zamówienia jest kompleksowe doradztwo transakcyjne w procesie akwizycji przez podmiot lub podmioty z Grupy Kapitałowej PGNiG (GK PGNiG) spółek SPEC SA oraz Vattenfall Heat Poland SA.
W szczególności będzie ono obejmowało całościowe zarządzanie projektem, przygotowanie dokumentacji procesowej i korporacyjnej, wielowariantową wycenę Spółek, zaproponowanie optymalnej struktury finansowania inwestycji, wsparcie GK PGNiG w zakresie pozyskania inwestorów kapitałowych oraz pozyskania finansowania dłużnego, wsparcie GK PGNiG w przygotowaniu strategii negocjacyjnej oraz negocjacjach ze sprzedającymi oraz przygotowanie strategii ofertowej i oferty, wsparcie GK PGNiG w komunikacji z interesariuszami, wsparcie w negocjacjach umowy sprzedaży oraz wykonywanie innych czynności związanych z procesem.
