PL-Bełchatów: legal advisory and representation services
The subject matter of the contract is the provision by the Contractor of legal services to the Company within the scope of the Company’s activities and on the basis of specific orders. ‘Legal service’ means, in particular:
1) to produce legal analyses and opinions and to provide legal advice in both written and oral form;
(2) drafting letters, contracts, agreements and other documents;
(3) representation and representation of the Company, in particular before the courts, state bodies and offices and other entities, on the basis of a power of attorney granted by the Company;
4) providing legal advice on the company’s functioning and assisting in the operation of its bodies;
5) participation in meetings and negotiations.
The legal services provided by the Contractor will cover the areas of law specified in the framework contracts, agreed in the content of the individual orders and related to the Company’s activities, in particular:
1. Energy law;
Commercial company law including corporate governance;
3. economic law;
4. Civil law;
5. Labour law, including collective labour law;
6. Competition and merger law;
7. Copyright and Patent;
8. Administrative law;
9. Environmental law;
10. Telecommunications law;
11. Construction law;
12. State aid;
13. European Union law on competitiveness and state aid;
14. Public Procurement Law;
15th Financial Law;
16. Tax law;
17. privatisation and restructuring issues, including matters relating to the social factor, the issue of equity conversion;
18th Arbitration Proceedings.
