Description

1) The subject of the proceedings is the implementation of the task entitled: ‘Comprehensive supply of electricity and provision of electricity distribution services for the Municipality of Ślesin’. 2) The Contractor is obliged to execute the order of the subject of the contract on the terms and conditions, taking into account the PPU contained in the Annex. No. 7 to SWZ. 3) The Ordering Party informs that for the entities indicated in Annex 8 to the SWZ, one joint contract with the Contractor will be signed. 4)Comprehensive supply and provision of electricity distribution services will take place in accordance with the applicable law, in particular under the conditions set out in the Energy Law Act of 10 April 1997, the regulations implementing this Act, in particular the Regulation of the Minister for Climate and the Environment of 22 March 2023 on detailed conditions for the operation of the electricity system and the Regulation of the Minister for Climate and the Environment of 29 November 2022 on the method of shaping and calculating tariffs and the method of settlement in electricity trade, the Tariff for electricity distribution services (DSD tariff) and the Instructions for Movement and Operation of the Distribution Network (IRiESD) of the relevant Distribution System Operator, i.e. Energa Operator S.A., ul. Polish Navy 130, 80-557 Gdańsk and regulations: the Act of 23 April 1964 - Civil Code, hereinafter referred to as ‘the CC’, the Act of 11 September 2019 - Public Procurement Law, hereinafter referred to as ‘the PPL’, the Excise Duty Act of 6 December 2008 and the rules set out in the concessions or provisions of the Agreement. 5) The contracting authority also indicated in Annex 1 to the SWZ those points of electricity consumption for which it has installed photovoltaic micro-installations. The amount of electricity [kWh] indicated in Annex 1 to the SWZ is the amount that the Contracting Authority intends to purchase from the Contractor and does not include electricity produced with the participation of photovoltaic micro-installations. 6) The subject of the contract covers the supply of active electricity and the provision of electricity distribution services in the planned amount of 1.267.522 kWh, from 01.01.2025 to 31.12.2025 (12 months) to electricity consumption points in accordance with Annex 1 to the SWZ. 7) A detailed description of the subject-matter of the contract together with a list of electricity consumption points for individual Parts of the subject-matter of the contract is set out in Annex 1 to the SWZ, respectively. The electricity consumption declared in the above-mentioned annexes is an estimate and is used only for the purpose of calculating the price of the Offer. 8)Comprehensive supply of electricity will be carried out on the basis of a contract for the sale of electricity referred to in Art. 2 points 1 of the Act of 10 April 1997 - Energy Law. (9)This contract also covers the provision of electricity distribution services. 10) The Contracting Authority informs that within the subject of the contract, the Contractor is responsible for commercial balancing. 11) The contracting authority, as part of the contract in question, provides for the possibility of exercising the right of option. In the course of performance of the contract, the Ordering Party reserves the right to increase by 126.752 kWh the total amount of energy provided within the scope of the subject of the contract. The activation of the option depends on the needs of the Ordering Party. The occurrence of the circumstances referred to in the preceding sentence will result in the purchase of an appropriate volume of electricity and an increase in the remuneration due to the Contractor under the contract for the subject of the contract. Deliveries made under the option right will take place on the terms of the concluded Agreement, in excess of the amount of kWh specified for the basic order. The Contracting Authority shall make the exercise of the right of option conditional on the addition of new electricity consumption points or on an increase in the demand for the supply of electricity to the electricity consumption points specified in Annex 1 to the SWZ, respectively. The right of option is a right of the Ordering Party, which it may or may not exercise as part of the performance of the contract. If the Ordering Party does not exercise the right of option, the Contractor shall not be entitled to any claims in this respect. The order under the option right in the event of an increase in electricity consumption starts automatically after the use of the basic order and does not require any action on the part of the Ordering Party. However, in the case of connection or inclusion of an electricity consumption point by the Ordering Party, which is not included in Annex 1 to the SWZ respectively, the condition for activating the option right is the submission by the Ordering Party of a written statement 12) The Contractor is obliged to have a contract with the Distribution System Operator (DSO), i.e. Energa Operator S.A. operating in the territory of the Contracting Authority, enabling the conclusion of effective contracts and the comprehensive delivery and provision of electricity distribution services via the DSO distribution network to electricity consumption points, as defined in Annex 1 to the SWZ. ATTENTION! The Contracting Authority reserves that the above-mentioned agreements with the DSO Distribution System Operator shall be held by the Contractor on the day of submission of tenders or at the latest on the day of commencement of comprehensive delivery and provision of electricity distribution services. 13)The Authorized Ordering Party informs that for all electricity consumption points specified in Annex No. 1 to the SWZ there are comprehensive contracts for the sale and distribution of electricity concluded for a definite period until 31.12.2024 with Energa Obrót S.A. The Contractor is not obliged to terminate the currently applicable contracts. 14)All measurement and settlement systems are adapted to the TPA principle.
