1. The subject of the contract is to take out a long-term loan within the meaning of the Act of 29 August 1997. – Banking law (i.e. Journal of Laws 2023, item 2488 as amended) in the Polish currency, in the amount of PLN 8 852 365,00, including: - cover the planned budget deficit of the City of Myszków in 2024 - in the amount of: PLN 7 427 365.00, - repayment of previously incurred liabilities under loans taken out - in the amount of: PLN 1 425 000.00. 2. The loan is granted in PLN for the period from the date of conclusion of the contract to 30.11.2038. 3. The Contractor shall open the Customer's credit account within 3 days from the date of conclusion of the contract and keep it until 30.11.2038 or until the date of full repayment of the loan. 4. The Contractor will launch the loan by 27.12.2024. 5. The Ordering Party guarantees the use of funds from the loan in the amount of at least PLN 6 000 000.00. 6. The Contracting Authority may use the funds from the loan to cover expenditure incurred from its own resources from 2 January 2024. Settlements between the Contracting Authority and the Contractor regarding the loan granted will be carried out in PLN. 7. The interest rate on the loan will be determined on an annual basis, at a variable interest rate equal to the amount of WIBOR 1M, increased by a fixed bank margin. 8. WIBOR 1M is the interest rate quoted on the Polish interbank market for 1-month interbank deposits, calculated as the arithmetic average of the last ten quotations (working days) preceding the monthly accounting period, rounded to two decimal places. 9. If the sum of WIBOR 1M and the Contractor's margin reaches a negative value, a 0% rate is used to calculate interest. 10. If the publication of the base rate WIBOR 1M is discontinued, the Ordering Party allows, by agreement between the parties, the WIBOR 1M rate to be changed to a rate that will replace the WIBOR 1M rate or the rate closest in size and nature to the WIBOR 1M rate without costs charged to the Ordering Party. Setting an alternative rate will require annexing the contract. 11. The first accounting period shall run from the date of disbursement of the first tranche of credit and shall end on the last day of the calendar month in which the disbursement was made. The contracting authority also allows the first accounting period to be counted from the date of disbursement of the first tranche of credit and to end on the penultimate day of the calendar month in which the disbursement was made. 12. The last accounting period will end on the day before the loan is fully repaid. 13. The security for the Contractor's receivables under the concluded contract is a blank promissory note issued by the Ordering Party with a promissory note declaration attached. The Treasurer of the Municipality of Myszków will submit a countersignature on the promissory note declaration. 14. Jeżeli termin związania ofertą upłynie przed wyborem najkorzystniejszej oferty, Zamawiający wezwie Wykonawcę, którego oferta otrzymała najwyższą ocenę, do wyrażenia, w wyznaczonym przez Zamawiającego terminie, pisemnej zgody na wybór jego oferty. 8. W przypadku braku zgody, o której mowa w ust. 7, oferta podlega odrzuceniu na podstawie art. 226 ust. 1 pkt 13 ustawy Pzp, a Zamawiający zwraca się o wyrażenie takiej zgody do kolejnego Wykonawcy, którego oferta została najwyżej oceniona, chyba że zachodzą przesłanki do unieważnienia postępowania.
