The procedure shall be conducted in accordance with the open tender procedure referred to in Article 132 point. 1 PPL and these tender specifications, hereinafter referred to as ‘SWZ’. 2. The contracting authority does not provide for the selection of the most advantageous offer with the possibility of conducting negotiations. 3. The estimated value of the contract exceeds the EU thresholds referred to in Article 3 of the Public Procurement Act. 4. In these proceedings, the contracting authority applies the so-called the ‘reverse procedure’ referred to in Article 139 of the Public Procurement Act. 5. The Ordering Party does not provide for an electronic auction. 6. The proceedings are conducted in Polish. 7. Settlements between the contracting authority and the contractor will be carried out only in PLN 8. Requirement/possibility to submit a tender in the form of electronic catalogues – not applicable. 9. Framework contract – not applicable. 10. The contracting authority does not reserve the possibility of applying for a contract only by the economic operators referred to in Article 94 of the Public Procurement Law. 11. The contracting authority in accordance with Art. 1 of the Public Procurement Law Act requires employment by the Contractor or Subcontractor for an employment contract within the meaning of the Labour Code Act of 26 June 1974 (Journal of Laws No. Journal of Laws of 2025, item 277) persons performing credit servicing activities, including, among others, Charging interest , sending information to the Ordering Party on accrued interest, determining current balances. 12. The contracting authority does not allow variants to be submitted. 13. The client does not require a local inspection. 14. The Contracting Authority shall not allow partial tenders to be submitted. 15. The contracting authority does not provide for reimbursement of the costs of the proceedings. The Ordering Party does not provide for advance payments for the performance of the contract § 3. Description of the subject of the contract. 1. The subject of the contract is to take out a long-term loan to cover the planned deficit. 2. Loan amount – PLN 16.000.000,00 3. The loan will be launched in tranches from the date of signing the contract to 31.12.2025, on the basis of the payment instructions of the Ordering Party, specifying the amount of the payment. 4. The Ordering Party requires that the time of making the loan available is not longer than 2 working days from the date of submission of the demand. 5. Final drawdown date 31.12.2025 6. The Ordering Party reserves the right to resign from using part of the loan without incurring additional costs. 7. The Ordering Party reserves the right to completely resign from taking out a loan without incurring additional costs. 8. The loan will be repaid from the Municipality’s own income by 2040. 9. The Ordering Party reserves the right to repay the loan earlier, without incurring additional costs. 10. Withdrawal period for repayment of the loan (capital) – until 31.03.2026. 11. The first instalment will be repaid on 31.03.2026. 12. Loan repayment method – quarterly fixed instalments per year, interest payment – decreasing; 13. Interest will be calculated monthly on the funds actually used. For the calculation of the amount of interest, the actual number of days of use of the loan is taken in relation to 365/366 days in the year. Interest (in the offer) must be taken into account from the expected date of initial use of the loan. 14. One-off commission; 15. Interest will be repaid in monthly instalments and will end when the loan is fully repaid, i.e. if the loan is repaid earlier, the interest will be calculated until the loan is repaid and not until the end of the contract. 16. Form of loan collateral by the Borrower: blank promissory note with promissory note declaration. 17. Repayments of the loan over the years: – 2026 – PLN 300,000.00 – 2027 – PLN 300,000.00 – 2028 – PLN 300,000.00 – 2029 – PLN 200,000.00 – 2030 – PLN 400,000.00 – 2031 – PLN 520,000.00 – 2032 – PLN 1.520,000.00 – 2033 – 1.520,000.00 – 2034 – PLN 1.520,000.00 – 2035 – 1.600,000.00 – 2036 – 1.600,000.00 – 2037 – 1.600,000.00 – 2038 – 1.600,000.00 – 2039 – 1.700,000.00 – 2040 – 1.320.00.00 PLN 18. Possibility to change the repayment schedule without incurring additional costs. 19. For the purpose of comparing offers, it should be assumed that the loan will be launched on 17 December 2025. 20.
