1. The subject-matter of the contract is the purchase by the Agency for Restructuring and Modernisation of Agriculture with its registered office in Warsaw (hereinafter referred to as ‘the Contracting Authority’) of temporary licences in the subscription model for a period of 24 months from the date indicated in the Collection Protocol referred to in § 3 para. 1 of the draft provisions of the Agreement (hereinafter: ‘p.p.u.’), constituting Annex No 8 to the SWZ, with a term of validity not earlier than from 30.03.2025 for PaloAlto PA-5250 Next Generation Firewall (NGFW) devices owned by the Ordering Party, equipped with 10GE inserts (each 12 pcs. - 24 units in total) together with the time licenses listed below in the subscription model and the provision by the Contractor of the Manufacturer's Warranty Service for NGFW Equipment and Software under the conditions described in the Act, constituting Annex No. 8 to the SWZ. 2. The subject-matter of the contract shall consist of: 2.1. providing the Ordering Party with the right to use (on the basis of subscription) temporary licenses for a period of 24 months from the date indicated in the Receipt Protocol, but not earlier than from 30.03.2025, 2.2. providing the Ordering Party with the manufacturer's warranty service for IT Equipment together with the Software for a period of 24 months from the date indicated in the Receipt Protocol, but not earlier than from 30.03.2025, including providing the manufacturer's support (Service Care) by issuing an appropriate Document to the Ordering Party confirming the right to access the manufacturer's support in the above-mentioned period, in accordance with the general terms and conditions of the manufacturer of IT Equipment and Software, 2.3. provision of Support Services by the Contractor to the Ordering Party (i.e. 130 hours of technical consultations on problems related to IT Equipment and Software) for a period of 24 months from the date indicated in the Receipt Protocol, but not earlier than from 30.03.2025, including transferring to the Ordering Party proprietary copyrights to the results of activities performed by the Contractor under the Support Service. 3. The Contracting Authority allows the Contractors to offer a solution equivalent to a reference solution meeting the requirements described in the SWZ. 6. If an equivalent solution is offered, the provided subscriptions must be fully managed by the PaloAlto PANORAMA PAN-PRA-25 device owned by the Ordering Party with the PAN-SVC-BKLN-PRA-25-3YR-R license. 7. If an equivalent solution is offered, the Contractor is obliged to restore the efficient operation of the Purchaser's hardware and software infrastructure and, at its own expense, make the necessary modifications to restore the proper operation of the Purchaser's hardware and software environment also after uninstalling the equivalent product in the event that the offered equivalent product does not properly interact with the equipment and software functioning at the Purchaser's premises and/or causes disruptions in the functioning of the Purchaser's hardware and software environment. In the event of causing during the implementation of the solution equivalent to any conflict of the implemented software with the hardware, network or application infrastructure of the Ordering Party, in particular by damaging the equipment owned by the Ordering Party and made available for implementation, or causing any deconfiguration of network settings or interference or causing malfunction of any application - the Ordering Party has the right to demand compensation covering the costs incurred for the removal of conflicts caused by the Contractor in the Ordering Party's environment, as well as covering the value of the damaged equipment. If an equivalent solution is implemented, the Contractor shall migrate all data to the new environment. 8. Detailed requirements with regard to the subject of the contract, including the conditions and rules for its implementation, have been described by the Ordering Party in the Act on Public Procurement, constituting Annex No. 8 to the SWZ.
