Description

The Regional Executive of Puglia, with DGR No 1242 of 11 August 2025, approved the pre-information sheet relating to the Minibond Financial Instrument. The instrument will be managed by Puglia Sviluppo SpA, a financial company of the Puglia Region. The Minibond Fund is the financial instrument that allows companies to develop their investment and growth projects in Puglia, through the capital market, thus using alternative forms of financing to the bank offer. The Apulia Region’s intervention is carried out through Puglia Sviluppo. In this new edition, the financial instrument is aimed at SMEs but also at MidCaps, i.e. companies characterized by a medium capitalization, usually lower than that of large companies but with significant growth potential. The instrument is implemented through the portfolio logic (the so-called basket bond) and aims to make €320 million available to SMEs and MidCaps investing in Puglia, through the issuance of minibonds, i.e. bonds. The financial resources available for the establishment of the portfolio guarantee amount to EUR 80 million. The aim of the forthcoming notice is to identify the financial operator, the “Arranger”, who will implement the whole process. Arranger applies for the award of the resources available for the provision of the guarantee and identifies the investors with whom to structure the portfolio transactions; defines the characteristics of minibonds (amount, duration, etc.) and supports issuing companies during the process of structuring and placing the minibond portfolio. Arranger will be able to choose whether to carry out the transaction with traditional securitisation, synthetic securitisation or mixed securitisation. They will be able to apply for the role of Arranger Italian banks; Community banks established in Italy or companies controlled by one or the other; financial intermediaries; investment firms. Applicants must have already acted as Arranger in issuing minibonds for a total amount of at least €100 million in the ten years prior to the publication of the Notice.
