Description

DEPA wishes the Insurance Coverage of Directors, Managers and Officers Liability Insurance, as described in detail in ANNEX A' (Information Information, Insurance Word, Terms and Exemptions). It is clarified that the insurance policy may include, in addition to the wording set out in Annex A, the general terms and conditions governing the contracts of the competing Insurance Company, but provided that a statement is included in the policy that these general terms relate only to general matters governing the insurance contract and do not in any way contradict the general and special terms of Declaration No 1113/24. Furthermore, since the wording of the policy also contains special terms in the English language, DEPA expressly and unconditionally agrees to the drafting of these terms of the policy in English, which it fully understands and understands, and further declares that it accepts and is bound by these terms. The duration of the insurance contracts to be signed will be for twelve (12) months from the date of award. The liability insurance policy of members of the Board of Directors and Management Executives (D & O) shall be valid from 01/07/2024 to 30/06/2025 for 1) Annual Liability Premium for Directors and Executives EUR 280.000,00, 2) Pre-agreed Premium of Extended Notification Period in the event of a change of control (duration of ten (10) years for the limit of the first EUR 10.000.000; 00 and six (6) years for the limit of EUR 30.000.000,00 in excess of the first EUR 10.000.000,00) EUR 350.000.00, Total estimated contract value of EUR 630.000,00 including premium tax and special fees and deductions on the premiums charged by DEPA under the legislative framework. It is clarified that Value Added Tax does not apply to premiums.
