Description

1. The subject of the contract is the lease of one complete, technically efficient robotic surgery system with equipment and the provision of full service for a period of 24 months. 1.1. The offered robotic surgery system must meet the requirements set out in applicable law and the technical, functional and quality requirements specified by Z-go. 1.2. A detailed description of the subject-matter of the contract, including technical, functional and quality requirements, requirements concerning equipment, compatibility, documentation, training, service and other conditions for the performance of the contract, is set out in Annex 2 to the FWC – (OPZ). 1.3. The requirements concerning the manner of performance of the contract, in particular the rights and obligations of the Parties, the rules for performance of the contract, receipt of the subject of the contract, provision of maintenance services, exercise of the right of option, payment terms, liability of the Parties and other conditions for the performance of the contract are set out in the Draft Provisions of the Agreement, constituting Annex No 9 to the FTZ. These documents are an integral part of the FTZ. 2. The contract includes the lease of one robotic surgery system with equipment and the provision of full service for a period of 24 months. The system offered, together with the equipment, tools and accessories, must ensure that Z-go can perform at least 580 robotic treatments during the order execution period, in accordance with the requirements set out in the OPZ. Z-cy reserves the right to: 1) complete the full scope of the contract before the end of the 24-month period; 2) limit the scope of the contract to the minimum guaranteed scope of service on the terms set out in the Draft Terms of the Agreement. 3. The contracting authority, acting on the basis of Article 441 of the Public Procurement Act of 11 September 2019, provides for the possibility of exercising the right of option, which includes: 1) extension of the term of the Agreement for another 12 months along with providing full service of the leased object; 2) purchase of the leased object. 3.1. The exercise of the right of option is the exclusive right of Z-go and depends on his needs, in particular on the need for the subject of the lease, financial possibilities and the need to ensure the continuity of the provision of health services. 3.2. You may exercise your right of option in whole or in part, in particular by: 1) an extension of the duration of the Agreement for a further 12 months; 2) purchase of the leased object after the end of the basic period of validity of the Agreement; 3) extension of the term of the Agreement for another 12 months, and then redemption of the leased object after the end of the extended term of the Agreement. 3.3. The maximum scope of the option right shall include: 1) an extension of the duration of the Agreement for a further 12 months; 2) redemption of the leased object after the end of the basic or extended term of the Agreement. 3.4. The Ordering Party is not obliged to exercise the right of option. Failure to exercise the right of option in whole or in part shall not give rise to any claims on the part of the Contractor, in particular for the extension of the term of the Contract, purchase of the leased item, payment of remuneration, compensation or reimbursement of costs incurred. 3.5. Detailed rules for the exercise of the option right, including the manner and dates of submitting a declaration on the exercise of the option right and the conditions for extending the term of the Agreement and purchasing the leased object, are set out in the Draft Terms of the Agreement. 3.6. The maximum value of the option right was taken into account when determining the value of the contract in accordance with Art. 2 and Article 441 of the Public Procurement Law Act of 11 September 2019. 4. CPC Category 1 . 5. The Proxy shall allow equivalent tenders to be submitted. Equivalent solutions: 1) If the POZ indicates proper names, manufacturers, models of devices or other designations identifying specific solutions, they should be understood as indicating requirements regarding functionality, technical parameters, quality, utility or compatibility with the infrastructure owned by Z-go. 2) Proceedings may offer equivalent solutions, provided that they ensure compliance with all the requirements set out in the GIP, in particular in terms of technical, functional, quality, utility parameters and the required compatibility with the equipment and infrastructure of Z-go. 3) If an equivalent solution is offered, the Contractor is obliged to demonstrate in the tender that the solution offered meets all the requirements specified by the Ordering Party in the OPZ. With regard to the requirements for which the Contractor requires the submission of such means of proof, the Contractor is obliged to submit documents confirming compliance with these requirements. 6. DATE OF ORDER PERFORMANCE: 1. The Contractor is obliged to deliver, install, commission and hand over for use the leased object within 10 days from the date of conclusion of the contract. 2. As part of the performance of the contract, the Contractor is obliged to perform all actions necessary to correctly hand over the leased object for use, in particular its transport, insertion, assembly, installation and commissioning, taking into account the installation and technical conditions in force at the place of use. 3. The leased item will be handed over on the basis of a delivery and acceptance protocol, after the Parties have confirmed that it has been delivered in a complete, defect-free condition and suitable for use in accordance with its intended purpose, together with the required documents and instructions. 4. The detailed date of delivery, assembly and commissioning of the leased object will be agreed with the Company, taking into account the organization of its work, while observing the deadline specified in paragraph. 1. 5. The lease period of the surgical robot together with the provision of full service is 24 months, counting the signing of the transfer and acceptance protocol confirming the transfer of the leased object for use.
