Description

Midttrafik wishes to change the time of conversion of the salary sub-indices (SBLON1), which are included in the cost index used to adjust the operator payment in the bus contracts covered. The time of conversion will change from March 2025 to June 2023, corresponding to the salary level in Q4 2022. The amendment takes effect from 1 January 2026 and concerns only the forward-looking adjustment of the contracts. There will be no reopening or amendment of previously completed settlements, but after the entry into force of the supplementary agreements, settlements will be re-adjusted from 1 January 2026 in accordance with the agreed adjustment mechanism. The reason for the change is that, following a sample analysis carried out by PwC, Midttrafik has assessed that a number of existing contracts still have a backlog in indexation in relation to the actual wage costs incurred. On this basis, Midttrafik's Board of Directors has assessed that there is still a not inconsiderable security of supply risk if the regulatory basis is not adjusted. The purpose of the amendment is to ensure that the regulation of wage costs in the covered contracts better reflects actual wage developments and thus supports a stable and robust operation of public bus transport. Midttrafik considers that the change does not change the overall nature of the contracts, since only the conversion date for the already agreed sub-index SBLON1 is adjusted. If the amendment were to be regarded as a contract amendment within the meaning of procurement law, Midttrafik considers that the amendment could be implemented pursuant to Article 89(1)(c) of the Utilities Directive (2014/25/EU), since the amendment is necessary due to unforeseen circumstances, is proportionate and does not alter the overall nature of the contracts.
