Description

1. The subject of the basic contract is the modernisation of passenger information systems (PIS) and selected IT systems, i.e. Passenger Information System (SIP), Internal and External Monitoring System (CCTV), Dynamic Driving Schedule System (SDRJ), Passenger Counting System, Advertising Emission System (SER), Measurement System and fuel consumption level in 20 diesel traction units of the SA103, SA131, SA132, SA133, SA136, SA137 and SA138 series owned by the Pomeranian Voivodeship, including replacement of equipment and delivery of dispatching application and training of users. The operator of the above-mentioned vehicles is POLREGIO S.A. Pomorski Zakład w Gdyni. The modernization aims to achieve a high level of functionality of systems installed in vehicles, enabling, among others, increased safety in vehicles, increased cybersecurity, analysis of traveller's torrents, information provided to travelers, etc. 2. In addition to the basic scope, the contracting authority is entitled to exercise the right of option referred to in Article 441 of the Public Procurement Act. The option includes a total upgrade of the Passenger Information System (SIP), the Internal and External Monitoring System (CCTV), the Dynamic Timetable System (SDRJ), the Passenger Counting System, the Advertising Emission System (SER), the Measurement System and the fuel consumption level of up to 6 diesel traction units of the SA133 series, together with complete functional tests and the start-up of the system. The Purchaser may exercise the right of option in whole or in part. The Ordering Party shall decide on the possibility and willingness to exercise the reserved option right in accordance with its financial capabilities. It is stipulated that the right of option does not constitute a contractual (including financial) obligation of the Ordering Party entered into at the time of conclusion of the contract, and the envisaged optional scope of the contract is not guaranteed to be performed. The optional scope indicated above is the maximum scope of the reserved option right. The Contractor is obliged to exercise the option under the reserved right in the case and to the extent that it is exercised by the Ordering Party in accordance with the content of the Ordering Party's declaration on the exercise of the option right and the conditions specified in the contract – at the time of making such a declaration, the Ordering Party enters into a financial obligation in the amount resulting from the scope of work covered by the option exercised under the given declaration. The Contractor shall not be entitled to any claim against the Ordering Party if the Ordering Party does not exercise the right of option. 3. The Ordering Party reserves that the unit prices covered by the option will be identical to the prices offered in the basic contract and unchanged throughout the duration of the contract, subject to the adjustment of remuneration. 4. Rules for the performance of the subject-matter of the contract covered by the option rights concerning: the method of its implementation, its receipt, the required standards and technical conditions, the method of payment, the method of securing, the method of calculating contractual penalties, the exercise of rights and obligations arising from the guarantee and the cooperation of the Parties will be the same as those applicable to the basic subject matter of the contract. 5. The Ordering Party shall notify the Contractor of the exercise of the right of option, depending on its needs, no later than 30 days from the date of conclusion of the contract. The Ordering Party may exercise the right of option once. 6. The deadline for the performance of the contract referred to in paragraph. 2 is the same as the deadline for performing the scope of the basic contract. 7. A detailed description of the subject-matter of the contract is set out in the Description of the subject-matter of the contract constituting Annex 1 to the FTZ and in the annexes to the FTZ and in the draft contract constituting Annex 2 to the FTZ. 8. The Contracting Authority does not reserve the possibility of applying for the contract only by the Contractors referred to in Article 94 of the Public Procurement Act. 9. Subcontracting: 1) The Contractor may entrust the performance of part of the contract to a subcontractor (subcontractors). 2) In connection with the performance of the contract, the contracting authority does not reserve the obligation to personally perform the key tasks of the contract. 3) In the event of subcontracting, the contracting authority shall require the contractor to indicate in the tender the parts of the contract which it intends to subcontract and, if already known, the names of those subcontractors. 4) Entrusting part of the contract to subcontractors does not release the contractor from responsibility for proper performance of the contract. 10. The contracting authority does not allow the possibility of submitting a variant offer referred to in Article 92 of the Public Procurement Act, i.e. an offer providing for a different way of performing the contract than specified in this FTZ. 11. The contracting authority does not provide for the conclusion of a framework agreement and the establishment of a dynamic purchasing system and does not provide for the selection of the most advantageous tender using an electronic auction. 12. The contracting authority does not provide for the award of contracts on the basis of Art. 1 point 8 of the PPL Act. 13. The Ordering Party does not allow the submission of tenders in the form of electronic catalogues or the attachment of electronic catalogues to the tender, in the situations specified in Article 93 of the Public Procurement Act. 14. The Ordering Party does not provide for settlement in foreign currencies. Order settlement is made in PLN. 15. The contracting authority does not provide for reimbursement of the costs of participation in the procedure. 16. The contracting authority does not provide for the award of an advance payment for the performance of the contract. 17. The contracting authority requires that the subject-matter of the contract be performed in accordance with the requirements contained in the FTZ, including the description of the subject-matter of the contract (annex 1 to the FTZ) and in accordance with the draft contract (annex 2 to the FTZ).
