Description

The subject-matter of this selection procedure is the selection of the transferee: (a) 7 registered ordinary shares in paper form no. 1 - 7, issued by FC Hradec Králové, a.s., ID: 274 79 307, with its registered office at Úprkova 473/1, Malšovice, 500 09, Hradec Králové (the ‘Company’), each with a nominal value of CZK 1 000 000, corresponding to a fully paid-up contribution to the registered capital of the Company of CZK 7 000 000 (the ‘Equity 1’); (b) 70 registered ordinary shares in paper form Nos 8-77 issued by the Company, each with a nominal value of CZK 100,000, corresponding to a fully paid-up contribution to the registered capital of the Company of CZK 7,000,000 (“Equity 2”); and (c) 113 registered ordinary shares in paper form No 78-190 issued by the Company, each with a nominal value of CZK 10,000, corresponding to a fully paid-up contribution to the registered capital of the Company in the amount of CZK 1.130,000 (“Actions 3”); the sole owner of which is the Contracting Authority (“Actions 1, 2 and 3 together “Actions”). The main activity of the Company is the operation and management of the football club FC Hradec Králové (“Club”), the operation of football in Hradec Králové, the provision of physical education and sports services in the field of football sports, the operation of physical education and sports facilities and facilities serving regeneration and reconditioning, massage, reconditioning and regeneration services, support for the comprehensive development of the youth base of this Club and the organisation of related football matches (“Subject of activity”). In order to fulfil its Subject of Activities, the Company has concluded a lease agreement with the Client which, under the conditions specified in the lease agreement, allows the Company to use and enjoy the Football Area, the Cotton Sports Area, the Dukla Sports Area and the Háječek Sports Area as defined in the lease agreement.
