Strategic consulting services for RAI S.p.A.
The service is divided into the following main areas, with reference to which the successful tenderer will be required to carry out the activities described in the Technical Specifications in order to meet the various needs: a) consulting services for the development of industrial plans, including the related strategic and economic-financial analyses; b) strategic consulting services for individual corporate projects, including industrial development initiatives, organizational rationalization, technological development, assessment of industrial synergies and corporate or Group reorganization operations; c) program/project management services to support the implementation of industrial plans and strategic projects including monitoring activities, management of organisational change, performance measurement, management reporting and support for the achievement of project objectives. The activities may involve the preparation of studies, analyses, business plans, economic-financial projections, programmatic documents, work plans, directional reports, monitoring dashboards and any other documentation functional to the pursuit of the objectives defined by RAI. The contractor must support RAI in relation to the needs expressed from time to time in the context of the services covered by the Framework Agreement, ensuring for the entire duration of the contract the availability of professionalism suitable for overseeing the entire range of activities provided for in the tender documentation as well as the organizational capacity necessary to ensure, where required, the simultaneous execution of several project interventions. The design and economic regulation of performance is based on the weeks/Full Time Equivalent (FTE) model. The consideration for each intervention will be determined on the basis of the estimated design effort and the composition of the required team, defined by the mix of professional figures provided for by the Technical Specifications and calibrated according to the complexity, duration, objectives and outputs of the assignment. The activities will be activated through specific implementation contracts, in the context of which the sizing of the intervention, the reference team and the related implementation methods will be identified. The resources used in the performance of the services will remain at all times under the sole responsibility of the successful tenderer and will operate under its direction, coordination and organisational responsibility. The successful tenderer shall retain exclusively all employer, hierarchical, organisational, disciplinary and management powers over the resources used. RAI will only define the needs, the objectives of the intervention, the expected outputs, the relative timing, the methods of interaction with its structures, the possible locations for carrying out the activities and the criteria for verifying the performances rendered. The operational organisation of the activities, the identification of the resources to be used and the management of the project team will remain the sole responsibility of the successful tenderer, subject to compliance with the professional requirements laid down in the tender documentation and any offers made during the tender procedure. Pursuant to Article 120(1)(a) of the Code, Rai S.p.A. reserves the right to: - the right, if the contractual amount is not exhausted at the end of the contractual term, to extend the duration of the relevant contract for the time necessary to use the full contractual amount; - the right to request from the contractor, during the duration of the contract, in the event of unforeseen needs resulting in an increase or decrease in the need for services, an increase or decrease in services, on equal terms, for an amount of up to EUR 360 000.00, also pursuant to Article 120(9) of the Code; in such a case, the contractor may not assert the right to terminate the contract. In exceptional cases, if the conditions set out in Article 120(11) of the Code are met, the duration of the contract (where appropriate as extended pursuant to Article 120(1)(a) of the Code as provided for above), which is still in the course of performance, may be extended for the time strictly necessary to complete the procedure for identifying the new contractor. In this case, the contractor will be required to perform the services covered by the contract at the same prices, agreements and conditions as those provided for in the contract.
