Description

1. The subject of this contract are successive deliveries of reagents for highly specialized research applications of Merck or equivalent, specified in terms of type and quantity in the Assortment and Price Form, constituting Appendix No. 2 to the FTZ, subject to sec. 2 and following. 2. The subject-matter of the contract referred to in Annex 2 was drawn up on the basis of an analysis of supplies of reagents for highly specialised Merck research applications made in the last 24 months, taking into account the quantitative changes necessary for the implementation of scientific and research programmes, the continuation of which requires the absolute use of reagents from the same manufacturer or producer of ‘equivalent’ reagents referred to in paragraph 2. 3. 3. Given the specific nature of the subject-matter of the contract (reagents for highly specialised Merck research applications) and the consequent impossibility of clearly describing the equivalence criteria, which cannot be described with sufficient precision pursuant to Art. 5 and 6 of the Act, the Contractor, who refers to ‘equivalent’ products (other than Merck) listed in the Assortment and Price Form (Annex 2 to the SPC), is obliged to demonstrate, by submitting with the tender the evidence referred to in Section 5 of the Act, in accordance with the provisions of Chapter XI of the SPC, that the reagents offered by him (each individually) meet the requirements allowing the continuation of scientific and research programmes without the need for additional activities (procedures), the need to purchase additional reagents or other consumables, calibration of equipment (if applicable), and to assume responsibility for damage to equipment caused by the use of ‘equivalent’ reagents offered and supplied, on the basis of an opinion issued by an authorised repairer of the equipment manufacturer. 4. The Ordering Party reserves the right to change the quantity of the subject of the order specified in the Assortment and Price Form (Annex 2 to the SWZ) within the limits of the remuneration referred to in § 4 sec. 1 of the draft contract, as well as the possibility of not using the subject of the contract in terms of quantity and value, but not exceeding 50% of the value of the remuneration specified in the contract. In such a case, the Contractor shall not be entitled to any claim for failure by the Ordering Party to use the subject of the contract in full quantity or value, subject to § 12 sec. 1 point 3 and § 9 of the draft agreement. 5. The contractor is required to perform the subject matter of the contract in accordance with the DNSH (‘Do No Significant Harm’) principle, as enshrined in Regulation (EU) 2020/852 of the European Parliament and of the Council of 18 June 2020 on the establishment of a framework to facilitate sustainable investment, the so-called ‘taxonomy’, at least to the extent specified in Chapter XI of the FTZ.
