The subject of the proceedings is the conclusion of the Framework Agreement, specifying the rules according to which the Contractor will provide services related to the development of KSI ZUS on the basis of Contract Documents, including: 1. performing and delivering Modifications together with Source Codes and Contractor Documentation; 2. providing Modification Implementation Support Services; 3. provision of Website Services; 4. granting, after the end of the term of the Framework Agreement, a 12-month Quality Guarantee of the delivered Work Results; 5. transfer to the Ordering Party all intellectual property rights (including copyright and related rights) to the Results of the Works (and in particular to the Modification, its Source Codes and the Contractor's Documentation) and grant a license for third-party software falling within the scope of the Modification; 6. providing General Consultations; 7. provision of Training Services; 8. provision of Additional Services related to the development of KSI ZUS, including in particular: 8.1. migrations to the Technical and System Infrastructure held by the Ordering Party; 8.2. advisory support, including support for legislative changes and draft legal acts; 8.3. production of tools supporting the development and maintenance of KSI ZUS; 8.4. preparation and provision of documentation related to KSI ZUS. Detailed conditions for the performance of the contract are set out in Annex 2 to the FTZ – Draft provisions of the Framework Agreement. The Contracting Authority intends to allocate a maximum amount of PLN 1 076 040 000.00 gross (i.e. including VAT) (in words: one billion seventy-six million forty thousand zlotys and 00/100). Within this amount, the Employer intends to obtain at least 88 200 CFP, but the Employer is not obliged to award contracts (conclusion of Executive Agreements) up to this amount. Failure to award contracts (lack of conclusion of Executive Agreements) or award of contracts for an amount lower than indicated in the preceding sentence may not be the basis for claims against the Ordering Party for non-performance or improper performance of the Framework Agreement.
